1. Licence agreement
This End User Licence Agreement (EULA) is between the customer and Malleable Software Private Limited. Installation, activation or use of MS Reach constitutes acceptance. MS Reach is licensed, not sold.
2. Licence grant
Subject to payment and compliance, Malleable Software grants a limited, non-exclusive, non-transferable, revocable licence to install and use MS Reach for the customer’s own lawful internal commercial purposes during the purchased 6-month, 1-year or 2-year term.
Each licence permits one active Windows device and does not renew automatically.
3. Device changes
The licence may not be transferred between customers. A customer may deactivate an old device and request reactivation on a replacement device through support after identity and licence verification. Repeated or abusive requests may be refused.
4. Restrictions
- Do not resell, sublicense, rent, lease, distribute, publish or share the software or licence key without written permission.
- Do not copy, modify, translate, reverse engineer, decompile, disassemble or derive source code except where applicable law expressly permits despite this restriction.
- Do not bypass activation, device, security, technical, usage or rate controls.
- Do not use MS Reach in breach of the Acceptable Use Policy, law or applicable third-party Platform Terms.
- Do not remove proprietary notices or misrepresent affiliation with WhatsApp, Meta or another platform.
5. Customer data and credentials
Customers control contacts, message content, groups, labels, chat exports, CSV files and connected accounts. They must secure devices, licence keys and third-party credentials and maintain lawful backups. The customer-supplied OpenAI API key must not be shared with Malleable Software and remains under the customer’s control.
6. Updates and components
Maintenance and minor updates are intended to be included during the paid term. Major upgrades, new editions and third-party costs may require additional payment. Open-source and third-party components may be governed by separate licences.
7. Ownership and feedback
Malleable Software and its licensors retain all intellectual-property rights in MS Reach. Feedback may be used without restriction or payment, without publicly identifying the contributor unless permitted.
8. Suspension, expiry and termination
The licence expires at the end of its fixed term unless a new term is purchased. We may suspend or terminate it for non-payment, material breach, unlawful use, security risk or platform abuse. On expiry or termination, use must cease and copies must be removed where required.
9. Warranty disclaimer and liability
To the maximum extent permitted by law, MS Reach is provided “as is”. We do not warrant uninterrupted operation, message delivery, platform compatibility, results or freedom from third-party restrictions. The Terms’ liability cap and exclusions apply. Non-excludable rights remain unaffected.
