MS Reach Application Installation and Usage Terms

1. Parties and acceptance

This Application Installation Terms and End-User Licence Agreement (Agreement) is a binding agreement between Malleable Software Private Limited, CIN U93000PN2021PTC198819, of Flat No. 302, Korgaonkar Park, Saraswati Nagar, Gadhinglaj, Maharashtra 416502, India (Malleable Software, Company, we, us or our), and the individual or organisation that purchases, installs, activates or uses MS Reach (Customer, you or your).

If you accept for an organisation, you confirm that you are at least 18 years old and have authority to bind that organisation. Electronic acceptance is valid and may be retained as an electronic record. MS Reach is licensed, not sold.

2. Licence grant and device limit

After confirmed payment, and while you comply with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to install, activate and use MS Reach on one active Windows device for your own lawful internal business purposes during the purchased term.

You may keep one reasonable backup copy of the installer solely for reinstalling the software on the licensed device. A licence or purchase code may not be shared between customers, organisations, devices or unrelated users. Each paid purchase code permits one licence generation for one machine code. Generation is final: support cannot change the machine code, recover or regenerate the licence, deactivate it for transfer, or reactivate it on a replacement device. A different or replacement device requires a new purchase. Contact support@msreach.in before generation if you are uncertain about the machine code.

3. System and installation requirements

MS Reach supports 64-bit editions of Windows 10 and Windows 11. Installation and operation require an administrator-authorised Windows account, a stable internet connection, sufficient storage and memory for the application and exported data, current Windows security updates, and continued access to the applicable WhatsApp and third-party services used by the Customer.

You are responsible for confirming compatibility before installation, maintaining a secure device, installing updates, permitting required firewall or antivirus access only after independent verification, and creating backups of important files. We do not require you to disable security software permanently.

4. Installation consent and security

By starting installation, you authorise the installer to copy program files, create application folders and shortcuts, write configuration and licence data, install or use necessary signed runtime components, check for updates, and communicate with Company licensing or update services as reasonably necessary to activate and maintain MS Reach.

Before purchase and again before one-time licence generation, the website may require an unchecked consent box linked to this Agreement. Selecting that box and continuing constitutes your express electronic acceptance of the version identified on this page and confirms that you have reviewed the installation, activation, usage, prohibited-conduct, third-party-platform, warranty, liability and data-responsibility provisions. If you do not agree, do not purchase, generate a licence, install, activate or use MS Reach.

Install MS Reach only from malleablesoft.in, a Company-provided download link or another source expressly authorised in writing by Malleable Software. Do not install modified, cracked or repackaged copies. You must protect licence keys, passwords, OTPs, connected accounts and OpenAI API keys. Never send passwords, OTPs, full card details or private API keys to Company support.

5. Customer-controlled data

You control and are responsible for contact lists, telephone numbers, group membership, labels, chat exports, CSV or TXT files, message content, media, prompts, API keys and other data used with MS Reach. You must have a lawful basis and all necessary notices, consents and permissions to collect, upload, access, export, validate, process and message that data.

Unless a feature expressly states otherwise, operational data created by the desktop application may be stored on the Customer’s device. You are responsible for backups, retention, deletion, access controls and responding to individual-rights requests for data under your control. Company handling of personal data is governed by the MS Reach Privacy Policy.

6. Messaging and platform compliance

MS Reach is a productivity tool. It does not provide recipients, consent, legal advice, guaranteed message delivery, platform approval or immunity from account restrictions. You are solely responsible for recipients, list sources, message content, frequency, timing, opt-in records, opt-out handling and compliance with applicable privacy, marketing, consumer, telecommunications and intellectual-property law and all WhatsApp, Meta, OpenAI and other third-party terms.

  • Use Bulk Sender and Group Blast only for recipients and groups you are authorised to contact, and honour opt-outs promptly.
  • Use Group Scraper only for groups you lawfully administer and only where collection and further use of member information is permitted.
  • Use Number Validator and chat or label exports only for legitimate, authorised business purposes; do not use them for number enumeration, stalking, profiling or list resale.
  • Use adjustable delays responsibly. Delay controls do not guarantee compliance or prevent a third-party platform from limiting or suspending an account.

7. Prohibited conduct

You must not, and must not permit another person to:

  • send spam or unsolicited bulk communications, use purchased or unlawfully scraped lists, or contact people without the consent or other lawful authority required for the communication;
  • engage in phishing, fraud, impersonation, harassment, threats, discrimination, malware distribution, unlawful surveillance or dissemination of illegal or infringing content;
  • evade bans, bypass platform rate limits, defeat security, activation or device controls, interfere with services, or test security without written authorisation;
  • copy, modify, translate, reverse engineer, decompile, disassemble, derive source code from, rent, lease, resell, sublicense, distribute, publish or commercially exploit MS Reach except where applicable law expressly prevents the restriction;
  • remove ownership notices, misrepresent the origin of the software, or claim that MS Reach is endorsed, certified or approved by WhatsApp, Meta, OpenAI or another third party; or
  • use MS Reach in a manner that violates the MS Reach Acceptable Use Policy, applicable law, court order, regulatory direction or third-party Platform Terms.

8. Third-party services and AI features

MS Reach is independently developed and sold by Malleable Software. It is not affiliated with, sponsored by, endorsed by, certified by or approved by WhatsApp, Meta or OpenAI. WhatsApp Web, Meta services, OpenAI models and other third-party services are governed by their own terms, privacy practices, availability and pricing.

For AI Chatbot features, you supply and control your OpenAI API key, selected model, prompts and usage charges. You must review automated replies before relying on them in sensitive or regulated contexts. AI output may be inaccurate, incomplete, offensive or unsuitable. The Company does not guarantee AI output and is not responsible for decisions made solely from it.

9. Updates, support and product changes

Maintenance updates and minor improvements are included during the active paid term. Major new editions, optional modules, third-party subscriptions and third-party usage charges may require separate payment. We may modify features when reasonably necessary for security, law, platform changes, performance or product improvement, but will not intentionally remove the essential paid functionality without a reasonable replacement, remedy or notice where required by law.

Support is available at support@msreach.in and +91 94224 19969, Monday to Saturday, 09:30 to 18:30 India Standard Time, excluding public holidays. The target initial response time is two business days; this is a service target, not a guaranteed resolution time.

10. Licence checks, suspension and termination

The application may perform proportionate licence, version, integrity and update checks. We may suspend activation, updates, support or access where reasonably necessary for non-payment, licence sharing, material breach, fraud, unlawful activity, credible security risk, platform abuse or compliance with law. Where practicable and safe, we will provide notice and an opportunity to remedy a remediable breach.

The licence ends automatically when the purchased term expires. On expiry or termination, you must stop using MS Reach and uninstall it. Clauses concerning ownership, restrictions, payment obligations, disclaimers, liability, indemnity, disputes and other provisions intended by their nature to survive will continue.

11. Ownership and feedback

Malleable Software and its licensors retain all rights, title and interest in MS Reach, its installer, code, interfaces, documentation, designs, trademarks and updates. No ownership transfers to you. If you voluntarily provide suggestions or feedback, you grant the Company a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without identifying you publicly unless separately permitted.

12. Refunds and digital delivery

The installer and licence information are delivered through the order confirmation page, email and/or customer account after confirmed payment. Refund requests must be sent within seven calendar days of purchase to billing@msreach.in with the order number, registered email, issue description and evidence reasonably needed to assess the request.

Refunds are available for verified duplicate charges, failed delivery that support cannot correct, a reproducible material defect preventing core operation that cannot be corrected within a reasonable period, incompatibility contrary to the published system requirements, or where required by law. Change of mind after download or activation, platform-account restrictions, customer misuse, unsupported systems, or failures caused by the Customer’s device, network, accounts, API key or configuration are normally not refundable after reasonable support is offered. Mandatory consumer rights remain unaffected.

13. Warranty disclaimer

To the maximum extent permitted by law, MS Reach, its installer, documentation, updates and support are provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation, compatibility with every device or third-party change, successful message delivery, campaign results, revenue, data recovery, platform approval, or avoidance of warnings, restrictions or account suspension. Nothing in this Agreement excludes a warranty, guarantee or remedy that cannot lawfully be excluded.

14. Limitation of liability

Subject to liability that cannot lawfully be excluded or limited, the Company’s aggregate liability arising from or relating to MS Reach or this Agreement will not exceed the amount you paid for the affected licence during the twelve months immediately before the event giving rise to the claim.

To the maximum extent permitted by law, the Company is not liable for indirect, incidental, special, exemplary, punitive or consequential loss; loss of profit, revenue, opportunity, goodwill, reputation, data, messages, contacts, platform accounts or anticipated savings; or loss caused by third-party services, Customer content, consent failures, security of the Customer’s device or credentials, or use contrary to this Agreement. These limitations apply regardless of the legal theory and even if advised that loss was possible, but do not limit fraud, wilful misconduct or other liability that applicable law does not permit to be limited.

15. Customer indemnity

To the maximum extent permitted by law, a business Customer will defend, indemnify and hold harmless the Company and its officers, employees and contractors from third-party claims, regulatory penalties, damages and reasonable costs arising from the Customer’s recipients, lists, content, consent failures, spam, unlawful scraping or exports, fraud, infringement, violation of law or Platform Terms, or use by a person given access to the Customer’s licence. This obligation does not apply to the extent a claim is caused by the Company’s breach, negligence, wilful misconduct or an unmodified defect in MS Reach.

16. Governing law and dispute resolution

This Agreement is governed by the laws of India and the State of Maharashtra. Before commencing formal proceedings, either party must send a written dispute notice to legal@msreach.in and allow thirty days for good-faith resolution.

Subject to non-waivable consumer rights and matters that cannot lawfully be arbitrated, an unresolved dispute will be referred to a sole arbitrator appointed by mutual agreement under the Arbitration and Conciliation Act, 1996. Arbitration will be conducted in English with its seat and venue in Pune, Maharashtra. Courts in Pune will have jurisdiction for interim measures, enforcement and non-arbitrable matters. A consumer may also use any forum or remedy available under mandatory consumer-protection law.

17. General terms

This Agreement, the Website Terms and Conditions, Privacy Policy, Acceptable Use Policy, Refund Policy, Digital Delivery Policy, Support Policy and order details form the entire agreement for MS Reach. If documents conflict, the order details control price and term; this Agreement controls installation and software licensing; and mandatory law controls in all cases.

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. Delay in enforcement is not a waiver. You may not assign this Agreement without written consent. The Company may assign it as part of a merger, reorganisation or transfer of the MS Reach business, subject to applicable law. Changes apply prospectively and material changes will receive notice or renewed consent where required.
